Life and Spirit Online Affiliate Program – Terms and Conditions

These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the Life and Spirit Online Affiliate Program (“Program”). By signing up to become an affiliate, you (“Affiliate,” “you,” or “your”) agree to comply with and be bound by these Terms. Please read them carefully before joining the Program.

1. Program Overview

The Life and Spirit Online Affiliate Program allows individuals and organizations to earn commissions by promoting Life and Spirit Online products, services, and content through approved affiliate links. When a customer referred by you makes a qualifying purchase, you earn a commission in accordance with these Terms.

2. Eligibility

To participate, you must:

• Be at least 18 years of age.

• Submit a complete and accurate affiliate application.

• Maintain an active website, social media profile, or email list appropriate for promoting Life and Spirit Online.

• Comply with all applicable laws and regulations.

Life and Spirit Online reserves the right to accept or reject any application at its sole discretion, without explanation.

3. Affiliate Responsibilities

As an Affiliate, you agree to:

• Promote Life and Spirit Online honestly, ethically, and in good faith.

• Use only promotional materials and links provided or approved by Life and Spirit Online.

• Not engage in misleading, deceptive, or spammy marketing practices.

• Clearly disclose your affiliate relationship in accordance with FTC guidelines and any other applicable advertising disclosure regulations.

• Maintain current contact and payment information in your affiliate account.

4. Prohibited Activities

Affiliates may not:

• Use paid advertising on Life and Spirit Online’s brand name, trademarks, or misspellings in search engines or social media.

• Use unauthorized coupons, deals, or discounts.

• Send unsolicited email (spam) containing affiliate links.

• Misrepresent Life and Spirit Online’s products or make false claims.

• Engage in fraudulent or abusive activity (including self-referrals).

• Use websites containing offensive, pornographic, violent, discriminatory, or illegal content.

Violating these rules may result in immediate termination from the Program and forfeiture of any unpaid commissions.

5. Commissions & Payments

• Commission Rate: Affiliates will earn a percentage of each qualifying sale, as specified on the affiliate sign-up page or within their dashboard.

• Qualifying Sale: A sale is considered “qualifying” when a referred customer completes a purchase through your unique affiliate link and the order is not canceled or refunded.

• Payment Schedule: Commissions are paid out monthly, approximately 30 days after the end of each calendar month, via the payment method on file.

• Minimum Payout Threshold: Affiliates must accrue a minimum of $25 in commissions before payment is issued.

• Refunds & Chargebacks: If a sale is refunded, disputed, or canceled, the associated commission will be reversed.

6. Affiliate Account & Tracking

Each affiliate will receive a unique tracking link. All sales are tracked through cookies or affiliate IDs. Life and Spirit Online is not responsible for any tracking failures due to browser settings, ad blockers, or technical issues outside of our control.

7. License & Intellectual Property

Life and Spirit Online grants you a limited, non-exclusive, non-transferable license to use our approved logos, banners, and promotional materials solely for participation in the Program. You may not modify these materials or create your own without written permission.

All intellectual property, including trademarks and content, remains the exclusive property of Life and Spirit Online.

8. Term & Termination

These Terms are effective upon your acceptance into the Program and continue until terminated by either party.

• You may terminate your participation at any time by providing written notice.

• Life and Spirit Online may terminate your participation at any time, with or without cause, and may withhold unpaid commissions in the event of a violation of these Terms.

Upon termination, you must immediately remove all affiliate links and promotional materials from your website, emails, and social channels.

9. Modifications

Life and Spirit Online reserves the right to modify these Terms, the commission structure, or the Program at any time. Affiliates will be notified of material changes via email or dashboard notice. Continued participation constitutes acceptance of the modified Terms.

10. Liability & Indemnification

Life and Spirit Online is not liable for any indirect, special, or consequential damages arising in connection with the Program. You agree to indemnify and hold harmless Life and Spirit Online, its affiliates, officers, employees, and partners from any claims, damages, or expenses arising from your participation in the Program, violation of these Terms, or misuse of affiliate links.

11. Independent Contractor Relationship

Affiliates are independent contractors and not employees, partners, or agents of Life and Spirit Online. Nothing in these Terms creates any legal partnership, joint venture, or employment relationship.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions.
